INVESTSECURE.ORG / HOW IT WORKS

Verified, active and kept current.

A verification is only as good as the last time it was performed.

Every offering is reviewed against the same twelve facts. Each record shows how every fact was confirmed and when, and the facts that can change are checked again.

The Core 12

A common language for trust.

Twelve core facts that apply to every private offering and should always be verified. Meeting them doesn’t depend on size, experience or expertise. It depends on doing things the right way, shown through actions and then verified.

Together, these confirm the fund is the company named in its SEC filing, that the people behind it are who the issuer says they are, and that the issuer and those people were screened against the Rule 506(d) bad-actor sources.

The three checks
  • 01Fund Identity
  • 02Covered Persons Verified
  • 03Bad Actor Check

Together, these confirm the type of offering, that its Form D and state notices are on file, and that a process is in place to confirm each investor is accredited.

The three checks
  • 04Offering Type
  • 05Form D and State Filings
  • 06Investor Verification Program

Together, these confirm where investor money is held, that a firm outside the sponsor administers the fund or keeps its books, and that the ownership records match every investment.

The three checks
  • 07Dedicated Offering Account
  • 08Third-Party Administration or Accounting
  • 09Investment Records

Together, these confirm each investor can log in to see their investment, that reports and statements go out on the schedule the offering sets, and that a dedicated way for investors to get support is in place.

The three checks
  • 10Investor Portal
  • 11Scheduled Investor Updates
  • 12Dedicated Investor Support

Beyond the Core 12, a fund can ask us to verify more of its own facts, where there is a source to check them against. Each one gets its own row, with its source, method and date. This sample shows Scheduled Distributions: it confirms a distribution was processed to eligible investors for every period due, reviewed against the fund’s own declared distribution schedule.

Sample: a fund on a calendar-month schedule. A badge under a period means that claim is verified for that period: distributions made, annual target rate.

Fictional example · not an issued record.

A record shows what has been checked. Not verified means InvestSecure has not confirmed the point; it does not mean the fund lacks it.

How we check

Not all proof is equal.

So every fact shows how it was confirmed.

An investor always knows how much weight a fact can carry. A status is never the answer on its own: a fact can be verified and still be bad news, and the record says so.

Not verified yet

CONFIRMED BYNo one yet

Nothing on file yet. The record says what is missing and when we asked for it.

WEIGHT

Stated by the issuer

CONFIRMED BYThe issuer

The issuer states it. The record shows it as the issuer’s statement, never as verified.

WEIGHT

Verified

CONFIRMED BYInvestSecure, against the official record

We match the fund’s documents to its filings with the SEC and the states, or confirm a process is in place and working.
